Introduction

Last Updated: March 2026 These Terms of Service ("Terms") govern your access to and use of the Lucerna Health website at getlucerna.com and the Leap platform (collectively, the "Services"). By accessing or using our Services, you agree to these Terms.
If you are accessing the Leap platform as an authorized user of a healthcare organization that has a contract with Lucerna Health, your organization's agreement with us also governs your use of the platform.

Who These Terms Apply To

• Website visitors: Anyone who visits getlucerna.com.
• Leap platform users: Employees and authorized users of healthcare organizations that have contracted with Lucerna Health to use the Leap platform.

If your organization has a Master Services Agreement (MSA) or subscription agreement with Lucerna Health, those terms take precedence over these Terms of Service for platform use.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

• Access or attempt to access any part of the Services through unauthorized means • Use the Services to transmit or distribute malware, spam, or any harmful content • Reverse engineer, copy, reproduce, or resell any part of the Services • Interfere with or disrupt the Services or servers connected to them • Use the Services in any way that violates applicable law, including HIPAA

Lucerna Health reserves the right to suspend or terminate access to the Services for any violation of these Terms.

Accounts and Access

If you access the Leap platform, your account is provisioned by your organization's administrator. You are responsible for:
• Keeping your login credentials confidential • All activity that occurs under your account • Notifying your organization's IT team immediately if you believe your account has been compromised
Lucerna Health is not responsible for any loss resulting from unauthorized use of your account.

Protected Health Information

The Leap platform processes Protected Health Information (PHI) on behalf of our customer organizations under executed Business Associate Agreements (BAAs). Lucerna Health acts as a Business Associate under HIPAA. PHI in the platform belongs to and is controlled by the customer organization. Use of PHI is governed by the applicable BAA and the customer organization's policies. Authorized users must access and handle PHI only as required for their job function and in compliance with HIPAA.

Intellectual Property

All content, software, and technology on our website and within the Leap platform — including text, graphics, code, and logos — is the property of Lucerna Health LLC and is protected by applicable copyright and trademark law. Nothing in these Terms grants you any right to use Lucerna Health's name, logos, or trademarks without prior written consent.

Privacy

Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you agree to the practices described in our Privacy Policy.

Disclaimers

Our Services are provided "as is" and "as available." Lucerna Health does not warrant that the Services will be uninterrupted, error-free, or free from security vulnerabilities. We make no guarantees about the accuracy or completeness of any information provided through the Services.

Limitation of Liability

To the fullest extent permitted by law, Lucerna Health will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services. Our total liability to you for any claim arising from these Terms or your use of the Services will not exceed the amount you paid to us in the 12 months preceding the claim, if any.

Termination

Lucerna Health may suspend or terminate your access to the Services at any time, with or without notice, for violation of these Terms or for any other reason at our discretion. For Leap platform users, access is also subject to your organization's agreement with Lucerna Health.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of Florida.

Changes to These Terms

We may update these Terms from time to time. We will post changes on this page. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
